Registering the termination of authorisation after terminating continuation after the conversion of a legal person

If the proceedings in respect of the notification of a trade or an application for a concession that have been opened based on submissions by continuing person(s) in connection with the notification of the continuation of a trade of a dissolved or divided entity have been completed, the trade licensing office will register a date of termination to all active trades of the dissolved or divided entity, and the date of termination for each trade will be identical to one of the dates resulting from the outcome of the proceedings according to the following key:

  • The date of the creation of the last continuing person’s trade authorisation
  • In the case of a notifiable trade, the date of entry into force of the decision that the conditions for the inception of the authorisation have not been met or the decision that the authorisation has not been created by notification in the proceedings with the last continuing person
  • In the case of a permitted trade, the date of entry into force of the decision to reject the application for a concession or the decision to discontinue the proceedings in respect of the application for a concession in the proceedings with the last continuing person.

Within 30 days from the date of registration in the trade licensing register, the trade licensing office will notify the fact that the trade authorisation has terminated to other administrative authorities specified in Section 48 or Section 55 of the Trade Licensing Act:

  • The tax authority that has local competence and carries out income tax administration
  • The Czech Statistical Office
  • The Social Security Administration that has local competence according to the entrepreneur’s registered office, in the case of a foreign person according to the location of a branch plant
  • The court that maintains the register
