A foreign legal person may carry on a trade in the Czech Republic through a branch plant – therefore, the first step is to establish the foreign legal person’s branch plant in the Czech Republic. Subsequently, the foreign legal person may notify a trade or apply for a concession. The trade authorisation is tied to a specific branch plant, and the branch plant must be registered in a public register in order for the trade authorisation to be created.

If the Trade Licensing Act requires the fulfilment of specific conditions for carrying on a trade, the entrepreneur must appoint a responsible representative for that trade. As its responsible representative, a foreign legal person appoints a person who is the head of its branch plant located in the Czech Republic. if the head of the given branch plant cannot be appointed as a responsible representative, the entrepreneur appoints another person as a responsible representative. A responsible representative appointed by an entrepreneur must meet the general (Section 6 of the Trade Licensing Act) and specific conditions for carrying on the trade, i.e. professional or other competence, if required by law (Section 7 of the Trade Licensing Act). The entrepreneur (and their responsible representative) must not be subject to any impediments to carrying on the trade (Section 8 or, if relevant, Section 8a of the Trade Licensing Act), and other conditions specified in the Trade Licensing Act must be met.

In order to fill in and submit the notification of a trade or an application for a concession, you will need the identification information of the legal person and the designation and address of the branch plant in the Czech Republic. In the event that the law requires the fulfilment of specific conditions for carrying on the trade, information on the person of the responsible representative must be available (to the same extent as on the person of the entrepreneur – natural person).
